2000 - 28 (August 2000) ACQUISITIONS, MERGERS & AGREEMENTS Saratoga International Holdings Corp. Agrees to Acquire Access World Wireless Services, Inc. Saratoga International Holdings, Corp. (SHCC) announced that it has reached an agreement in principal to acquire Access World Wireless Services, Inc. for approximately $1.4 million, including cash, shares, and warrants. Access World Wireless Service is a niche player in the international telecom and wireless market, specializing in efficient, low cost cellular services that seamlessly interface with existing cellular plans, and will further strengthen SHCC’s place in the worldwide telecommunications industry. The transaction also includes SHCC’s acquisition of Access World Telecom and Technologies, Inc., an affiliated company. Following the closing of the agreement, expected to be no later than August 31, 2000, the management and business affairs of the acquired companies will be operated as a wholly owned subsidiary of Saratoga under the corporate name of Access World Telecom Inc.
