ACQUISITIONS, MERGERS & AGREEMENTS

Scan Mobile Acquires MobileChannel Network to Expand Wireless Entertainment Portfolio

September 2002 - Scan Mobile Ltd., a wireless application provider, announced today the acquisition of
MobileChannel.Network, a leading provider of branded content services and technology to mobile operators, in a move to rapidly expand Scan Mobile's portfolio of wireless applications and extend its market reach. The joint organisation will serve 26 of the world's top 50 mobile network operators,
making Scan Mobile a powerful force in wireless applications.

MobileChannel.Network (MC.N) will operate as a separate business unit of Scan Mobile, maintaining offices in Geneva and Singapore, continuing to market its MTV® Ringtones and logos offerings to mobile network operators (MNOs). As part of this acquisition, Scan Mobile will incorporate OTA Manager, MC.N's mobile provisioning application, into its portfolio. In addition, existing MC.N customers will have access to Scan Mobile's shopping, ticketing, and entertainment applications.

"The acquisition of MobileChannel.Network allows Scan Mobile to immediately serve over 50 percent of the world's top mobile network operators with a very robust application portfolio," said Julian Hardy, CEO of Scan Mobile. "MC.N's services, such as MTV Ringtones, enhance Scan Mobile's breadth of offerings, making Scan a one-stop application source for mobile network operators."

Hardy continued, "Mobile network operators are looking for ways to increase their wireless data revenues by offering new applications and services. Partnering with a market leader such as Scan Mobile, MNOs are able to deliver compelling offerings to subscribers that deliver entertaining and life enriching services through their mobile."

Through an alliance with MTV Networks Europe and MTV Networks Asia, MobileChannel.Network holds the exclusive license to sell MTV branded ringtones and logos to MNOs in Europe and Asia. Ringtones and logos can be purchased and transmitted to users' handsets via over the air (OTA) technology. MC.N also utilises this innovative technology to provision WAP phones, through its OTA Manager managed service. OTA Manager allows MNOs and other service providers to quickly set up and configure large volumes of phones, thereby reducing costs, eliminating mistakes, and improving customer satisfaction.
